The board of directors bears a legal responsibility to govern a company. Fulfilling that responsibility encompasses many individual roles and responsibilities. Each board member brings different strengths, talents and abilities to the board. When board members merge their skills toward the mission and vision of an organization, it creates a synergy that makes the whole board greater than the sum of each individual’s contribution.

Powers of Directors

  • Board of Directors have full authority on overall organisation.

  • They have right to investigate company’s overall activities, if board members fails to give proper statements then they can take legal action against any of them.

  • Company’s important decisions will be taken by the percentage allotted by Board of Directors but Chairman, CEO and Non-Executive Officer must agree with the decision, if not then the decision will be discarded.
